EXPERIENCE

Anwuli is a partner in the Corporate and Commercial Group and the Energy and Natural Resources Group of the firm.

She is a qualified transactional attorney with a high degree of skill and expertise in advising leading companies in Nigeria on a wide range of domestic and cross border transactions and on the development and management of compliance frameworks for sustainable business.

She is involved in a wide range of corporate matters including Banking, Real Property, Project finance and other various sectors of the economy; including the Oil and Gas industry where she is involved in reviewing, drafting agreements for acquisitions, joint ventures and operations, as well as advising on transaction structuring, asset acquisition and divestments, market entry and regulatory compliance regime in Nigeria.

She is a graduate of the University of London, Queen Mary and has a LL.M from Fordham University School of Law, New York.

OLUSOLA GEORGE-TAYLOR

EXPERIENCE

Olusola is a partner in the Corporate and Commercial Group and the Dispute Resolution Group of the firm.

He has several years of corporate and commercial legal experience in vertical markets and industries spanning FMCG to Telecommunications. He has successfully facilitated the mergers and acquisitions of several companies within varied industries and has also played key advisory roles concerning Foreign Direct Investments (FDI) and Regulatory Compliance.

Olusola was personally responsible for the supervision and management of the internal restructuring of a key player in the global tobacco industry. He has also worked with the Asset Management Corporation of Nigeria (AMCON) in handling and resolving large-scale insolvency matters. He is a member of the Institute of Chartered Mediators and Conciliators (ICMC).

Prior to joining Alli-Balogun, Okeke and Taylor, Olusola managed the Legal department in a multi-national telecommunication company.

HUMPHREY ONYEUWKU

EXPERIENCE

Humphrey is a partner in the Energy and Natural Resources Group of the firm. He is a corporate lawyer with vast experience in providing legal advisory services to the energy market. His specialty includes advising the upstream oil and gas and power sector on transaction structuring, asset acquisition and divestment, market entry and regulatory compliance regime. He has an in-depth knowledge of the legal and contracting requirements in major project activities including major and new petroleum producers and has worked as in-house counsel at major independents in Nigeria and external legal adviser for major oil and gas, EPC and electricity generating companies

Humphrey has frequently facilitated and made presentations on oil and gas matters at International conferences and universities, such as the Advanced Contract Risk Management for Oil and Gas Summit (December 2012, Aberdeen Scotland); Robert Gordon University, Aberdeen and the Dundee Business School, University of Abertay, U.K .

He has led dedicated teams of professionals with broad energy expertise and experience in providing qualitative legal advice and insights into both commercial and public policy issues that directly impact on client’s business.

He advised an Independent Indigenous E & P company that acquired an IOC’s divested interests in an Oil Mining Lease in connection with a facility upsizing of an international secured reserve-based lending to finance its upstream work obligations.

He was involved with advising Seplat on the dual listing of its equity on the London and Nigeria Stock Exchanges. The transaction was a first of its kind in Nigeria and won several awards both locally and internationally.

Humphrey was also involved with negotiating and structuring the contractual framework for the re-entry works and field development plan of an OML on behalf of an Independent E &P Company with the transaction valued at circa USD $300Million. He provided legal advice on re-negotiating the JOA, off-take arrangements, and modified Carry Arrangement to ameliorate the risks with funding the work obligations on behalf of the senior JV Partner;

Humphrey advised on the contract negotiations and deal structuring for the Trans-Niger Pipeline (TNP), Nembe Creek-Cawthorne Channel Trunkline (NCTL) Replacement Project and significant part of the Total Upstream Nigeria (TUPNI) Egina FPSO project.

He is currently the President of The Lagos Oil Club, an association of senior Oil and Gas Professionals in Nigeria with interests in networking and advancing advocacy within all aspects of petroleum and other energy resources issues relating to Nigeria and the world in general.
